Webuild Board appoints New Manager In Charge of preparing Corporate Accounting Documents

Update on new business plan

MILAN, September 23, 2026 - Webuild's Board of Directors, which met today, has appointed, subject to the favourable opinion of the Board of Statutory Auditors, Massimo Pompei (formerly Group Chief Financial Officer) as Manager in Charge of Preparing Corporate Accounting Documents pursuant to Article 154-bis of the Consolidated Law on Finance (TUF), effective October 1, 2026.

Pompei was also assigned responsibility for certifications regarding Consolidated Sustainability Reporting, as provided for under Paragraph 5-ter of the aforementioned article of the TUF.

Pompei's curriculum vitae will be made available on the Company's website (www.webuildgroup.com) in the Governance section.

As of today, based on the information available to the Company, Pompei holds 18,032 Webuild ordinary shares.

In addition to the above, taking into account the launch of the Voluntary Tender Offer for Trevi Finanziaria Industriale S.p.A., whose Offer Document was published on September 18, with the Acceptance Period running from September 28, 2026 to November 20, 2026, the Board of Directors deemed it appropriate to postpone the presentation of the Business Plan until the ongoing transaction has been completed. The Company, in fact, deems it necessary to finalise and complete this transaction in order to present its strategic, industrial, and financial targets to the market on a fully updated basis that is consistent with the new perimeter that may result from the Offer and with the growth prospects of the combined Group.

The standalone 2026 targets previously communicated to the market remain unchanged.
